Agreement to these terms

These Terms of Service ("Terms") govern your use of this website and any services engaged through Catalyst Marketing Lab ("we", "us", "our"), a business operating in Singapore. By using this website or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use this website or our services.

Quotes, scope and acceptance

Prices shown on this website are indicative starting points, not binding offers. A binding engagement is formed only when we issue a written quote or proposal and you accept it (including by email or electronic signature, which is valid under the Electronic Transactions Act 2010). Specific scope, deliverables, timelines and pricing for a project are set out in that quote, proposal or invoice, which forms part of these Terms for that engagement.

Fees, payment and GST

Fees are quoted in Singapore Dollars (SGD) unless stated otherwise, and are exclusive of Goods and Services Tax (GST) unless stated otherwise; GST will be added at the prevailing rate if applicable. Payment terms are set out in each project's quote or invoice. We may pause work on any project with an overdue invoice until payment is received, and may charge reasonable interest on significantly overdue amounts as permitted by law.

Cancellation and refunds

Either party may cancel an ongoing project engagement with written notice, subject to any minimum term stated in the relevant quote or proposal. Fees for work already performed, and any non-recoverable third-party costs already incurred on your behalf (such as software licences or ad spend), remain payable. Where a project is cancelled before work begins, we will refund any deposit paid, less a reasonable amount for scoping work already carried out.

Intellectual property

Upon full payment for a project, you own the final deliverables created specifically for that project (such as bespoke website content, design files and copy), to the extent permitted under the Copyright Act 2021. This excludes any third-party licensed assets, stock content, plugins, themes, platforms or tools used to build or run the deliverables, which remain subject to their own licence terms. We may retain the right to display completed work in our portfolio unless you request otherwise in writing.

Client responsibilities

You are responsible for providing content, access and feedback needed to deliver a project on schedule, and for ensuring that any content, trademarks or materials you provide to us do not infringe a third party's rights. Delays caused by late content, access or approvals may affect agreed timelines.

Confidentiality

Each party agrees to keep the other's confidential business information private, and to use it only for the purposes of the engagement, except where disclosure is required by law or a Singapore regulatory authority.

Website use

You agree not to misuse this website, including attempting to gain unauthorised access to it, interfering with its operation, or using it to transmit unlawful or harmful content, consistent with the Computer Misuse Act 1993.

Fair trading

Nothing in these Terms is intended to limit any right you have under the Consumer Protection (Fair Trading) Act 2003 in respect of unfair practices. We aim to describe our services accurately and to honour the terms of every written quote we issue.

Limitation of liability

To the extent permitted by law, we are not liable for indirect or consequential losses arising from your use of this website or our services. Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited under the Unfair Contract Terms Act 1977, including liability for death or personal injury caused by negligence, or for fraud or fraudulent misrepresentation.

Termination

We may suspend or terminate access to this website, or an ongoing engagement, for conduct that breaches these Terms or applicable Singapore law, without prejudice to any fees already owed.

Governing law and jurisdiction

These Terms are governed by the laws of the Republic of Singapore. Both parties submit to the non-exclusive jurisdiction of the courts of Singapore. Where a dispute cannot be resolved informally, either party may refer it to mediation (for example, through the Singapore Mediation Centre) before commencing court proceedings.

Changes to these terms

We may update these Terms from time to time to reflect changes in our services or in Singapore law. Continued use of this website or an ongoing engagement after changes take effect indicates acceptance of the updated Terms. Material changes affecting an active project will be communicated to you directly.
